Non-Disclosure Agreement (NDA)

Note: This NDA constitutes a baseline draft. It is provided as a standard template governing DocumentRemy's handling of client documents and information. It applies by default to all engagements. Clients requiring a bespoke or jurisdiction-specific NDA should request one before the engagement begins. PARTIES:
Disclosing Party: The Client (individual or entity engaging DocumentRemy for services)
Receiving Party: DocumentRemy, represented by its consultants Jeff and/or Anna, operating from Accra (Ghana), Budapest (Hungary), Amsterdam (Netherlands), and Denver (Colorado, USA)
Effective Date: The date on which the client first engages DocumentRemy for services, whether by booking a session, submitting a quote request, or sharing documents.
1. Purpose
This Non-Disclosure Agreement ("Agreement") governs the handling of confidential information shared between the Client (the "Disclosing Party") and DocumentRemy (the "Receiving Party") in connection with document architecture, drafting, review, and consultancy services ("the Engagement").
The purpose of this Agreement is to protect the confidentiality of the Client's personal information, case details, and documents shared in the course of the Engagement.
2. Definition of Confidential Information
"Confidential Information" means any information disclosed by the Client to DocumentRemy in connection with the Engagement, including but not limited to:
- Personal identifying information (name, address, date of birth, nationality, identification numbers)
- Case details, application history, and immigration or legal status
- Employment history, academic records, and professional qualifications
- Financial information
- Documents of any kind shared for review, drafting, or reference
- Any other information that a reasonable person would consider confidential given the nature of the Engagement
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of DocumentRemy; (b) was already known to DocumentRemy before the Engagement; or (c) is required to be disclosed by law or court order, provided that DocumentRemy gives the Client reasonable prior notice.
3. Obligations of the Receiving Party
DocumentRemy agrees to:
- Hold all Confidential Information in strict confidence and not disclose it to any third party without the Client's explicit written consent.
- Use Confidential Information solely for the purpose of performing the Engagement.
- Limit access to Confidential Information to those consultants directly involved in the Engagement.
- Take reasonable technical and organisational measures to protect Confidential Information from unauthorised access, disclosure, or loss.
- Not use Confidential Information for any commercial purpose other than the Engagement.
- Not reproduce, copy, or distribute Confidential Information except as necessary to perform the Engagement.
4. Obligations of the Disclosing Party
The Client agrees to:
- Provide accurate and complete information necessary for the Engagement.
- Ensure that any documents shared are the Client's own or that the Client has the right to share them.
- Treat any proprietary methods, frameworks, or materials shared by DocumentRemy as confidential.
5. Duration
This Agreement takes effect on the Effective Date and remains in force for the duration of the Engagement and for a period of three (3) years thereafter. Obligations relating to particularly sensitive personal information (including immigration status, legal proceedings, and financial information) survive indefinitely.
6. Return or Destruction of Information
Upon completion of the Engagement, or upon the Client's written request, DocumentRemy will delete or destroy all Confidential Information in its possession, except where retention is required by applicable law or for legitimate accounting purposes. The Client may request confirmation of deletion.
7. No Licence
Nothing in this Agreement grants either party any licence, right, or interest in the other party's intellectual property beyond what is necessary to perform the Engagement.
8. Remedies
The parties acknowledge that a breach of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy. In the event of a breach or threatened breach, the non-breaching party may seek injunctive relief in addition to any other available remedies.
9. Governing Law
This Agreement is governed by the laws of the jurisdiction in which the relevant DocumentRemy consultant is based. Disputes will be resolved through good-faith negotiation before any formal legal process.
10. Entire Agreement
This Agreement, together with DocumentRemy's Terms of Service and Privacy Policy, constitutes the entire agreement between the parties with respect to confidentiality and supersedes all prior agreements on the same subject.
